Key Responsibilities: Company Secretarial & Legal Compliance Ensure compliance with Companies Act, 2013, and other applicable corporate laws and regulations. Draft, maintain, and file statutory registers, minutes, and resolutions (Board Meetings, AGMs, etc.). Coordinate with ROC and file annual returns, event-based forms (MGT-7, AOC-4, DIR-12, etc.). Maintain and update all statutory documentation and ensure timely filings with regulatory authorities. Ensure compliance with FEMA, Import-export regulations, and board decisions related to international dealings (relevant due to South Korean imports). Liaison with legal advisors, consultants, auditors, and government departments when required. Accounts & Financial Support Support the accounts team in basic accounting, billing, GST, TDS, and reconciliations. Assist in internal audits, vendor invoice tracking, and maintaining records for tax filing and ROC compliance. Prepare reports and statements required for both internal review and statutory compliance. Corporate Governance & Support Maintain high standards of corporate governance and provide legal and compliance inputs to the management. Provide secretarial support for company restructuring, agreements, and business expansion strategies. Support the HR and admin team in policy drafting and compliance documentation where needed. Requirements: Must be a qualified Company Secretary (ICSI Certified). Minimum 3 years of relevant experience in company secretarial and basic accounting roles. Good knowledge of ROC filings, MCA portal, corporate laws, and accounting principles. Familiarity with Tally, Excel, and other accounting or compliance software preferred. Strong written and verbal communication skills. High level of integrity, attention to detail, and ability to work independently.
